By accessing or using the AnidaPro website (anidapro.com), submitting a service request, or registering for the AnidaPro contractor portal, you agree to be bound by these Terms & Conditions (“Terms”) and our Privacy Policy. If you do not agree, do not use our services.

These Terms constitute a legally binding agreement between you and AnidaPro LLC, 928 S Dixie Highway #1026, Lantana, FL 33462 (“AnidaPro,” “we,” “us,” or “our”).

AnidaPro provides the following services:

• Property Services: coordination of maintenance, repair, and improvement work at residential and commercial properties nationwide via our network of licensed contractors.
• Property Management: full-service management of residential and commercial properties, including tenant relations, maintenance oversight, and financial reporting.
• Community & Commercial Maintenance: ongoing facility maintenance and management for HOA communities and commercial properties.
• Contractor Portal: a SaaS platform providing approved contractors with lead delivery, CRM, job management, invoicing, scheduling, team management, and payment tools.

We act as a marketplace and coordination platform. AnidaPro is not a licensed contractor and does not directly perform skilled trade work. All physical services are performed by independent, licensed contractors in our network.

• By submitting a service request, you authorize AnidaPro to share your contact and property information with contractors in our network for the purpose of fulfilling the requested service.
• Submitting a request does not guarantee service or a specific timeline. We will make reasonable efforts to match your request with a qualified contractor.
• You agree to provide accurate information. Misleading or fraudulent service requests are prohibited.
• You consent to receive SMS messages and calls related to your service request. Reply STOP to any text message to opt out.
• AnidaPro is not liable for the quality of work performed by independent contractors. Disputes regarding workmanship should be raised with the contractor directly.

• You represent that you hold all licenses, certifications, and insurance required by applicable state and local law for the services you offer.
• You agree to respond promptly to leads and provide professional, lawful services to property owners.
• You are solely responsible for all work performed at a property. AnidaPro is not liable for property damage, personal injury, or disputes arising from your services.
• You agree to maintain accurate account information, including valid contact details and current licensing/insurance records.
• You may not share portal credentials with unauthorized parties.

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
• Submit false, misleading, or fraudulent service requests or contractor applications.
• Circumvent our platform by soliciting or accepting payment for leads received through AnidaPro outside the platform in a manner intended to avoid platform fees.
• Reverse-engineer, scrape, or attempt unauthorized access to our systems or data.
• Harass, threaten, or abuse other users, contractors, or AnidaPro staff.
• Introduce malware, viruses, or other harmful code into our systems.

Violation of these prohibitions may result in immediate account suspension or termination without refund and may subject you to civil or criminal liability.

All content on the AnidaPro website and portal — including text, graphics, logos, software, and trademarks — is the property of AnidaPro LLC or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any content without our prior written consent.

You retain ownership of content you upload to the portal (e.g., business logo, client records). By uploading content, you grant AnidaPro a limited, non-exclusive license to use it solely to operate and improve the platform.

The platform integrates with third-party services including Stripe (payments), Supabase (database and auth), Twilio (SMS and calls), Resend (email), and Vercel (hosting). Your use of these integrated services is subject to their respective terms and privacy policies. AnidaPro is not responsible for the acts or omissions of these third parties.

THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ANIDAPRO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

ANIDAPRO DOES NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF SERVICES PROVIDED BY CONTRACTORS, THE ACCURACY OF CONTRACTOR LISTINGS, OR THAT ANY SERVICE REQUEST WILL BE FULFILLED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANIDAPRO LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO ANIDAPRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

You agree to indemnify, defend, and hold harmless AnidaPro LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any services you perform as a contractor.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction in those courts.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify portal account holders by email. Your continued use of our services after changes become effective constitutes your acceptance of the revised Terms.

We reserve the right to suspend or terminate your account or access to the platform at any time, with or without notice, for conduct that violates these Terms or that we determine, in our sole discretion, is harmful to other users, AnidaPro, or third parties. Upon termination, your right to use the platform ceases immediately.

• Entire Agreement: these Terms and our Privacy Policy constitute the entire agreement between you and AnidaPro with respect to the subject matter herein.
• Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver: failure to enforce any provision of these Terms is not a waiver of our right to enforce it in the future.
• Assignment: you may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
